Terms of Service

These Terms of Service ("Terms") govern your access to and use of Invopap, a multi-tenant billing, inventory, payroll and HR management platform ("Service"), operated by QIANG AVANCEE TECHNOLOGIES LTD ("we", "us", "our"). By registering a business or otherwise using the Service, you agree to these Terms on behalf of yourself and the business you represent.

1. Who can use Invopap

You must be able to form a binding contract to use the Service, and you must have the authority to bind the business you register. If you register on behalf of a company, "you" refers to that company as well as you personally.

2. Your account

You're responsible for the accuracy of the information you enter, for keeping your login credentials confidential, and for all activity that happens under your account. The account owner is responsible for the logins they create for staff and for the permissions granted to each one. Tell us promptly if you believe your account has been compromised.

3. Subscriptions and billing

New businesses receive a free trial period, after which continued use requires an active paid subscription. Subscriptions are billed in advance for the period selected and, unless stated otherwise at checkout, do not renew automatically - you choose when to renew. Fees are quoted and charged in the currency shown at checkout. Payment may be made by bank transfer (activated once we've confirmed receipt) or, where available, online by card or mobile money through our payment provider (activated automatically on confirmed payment). Fees already paid are non-refundable except where required by law or as we agree in writing.

4. Your data

You retain ownership of the business data you put into Invopap - your customers, products, invoices, staff records, and everything else you create or upload. We don't sell your data or use it to train external products. See our Privacy Policy for how we handle it, including the third-party services (email delivery, payment processing, file storage) involved in operating the Service.

You're responsible for the accuracy and legality of the data you enter, including that you have the right to store any customer or staff information you add.

5. Acceptable use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to another business's data or to the Service's infrastructure; interfere with or disrupt the Service; upload malicious code; or use the Service to send unsolicited bulk communications.

6. Service availability

We aim to keep Invopap available and reliable, but we don't guarantee uninterrupted access. We may need to suspend the Service temporarily for maintenance, and we'll try to give notice when practical for anything planned.

7. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate an account that breaches these Terms, that we reasonably believe is being used fraudulently, or where a subscription has lapsed beyond a reasonable grace period. Where practical, we'll give notice and an opportunity to export your data first.

8. Disclaimers and limitation of liability

The Service is provided "as is". To the maximum extent permitted by law, we disclaim warranties of any kind, and our liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

9. Changes

We may update these Terms from time to time. We'll update the "Last updated" date above when we do; material changes will be communicated by email or an in-app notice where practical. Continued use after a change takes effect means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles.
